These Terms of Service ("Terms") govern your access to and use of the neurovexison website and educational analytics services provided by neurovexison Ltd, a company registered in Cyprus under registration number HE741258 ("neurovexison", "we", "us", or "our"). By accessing our website or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

neurovexison provides advanced student progress analytics platforms and related educational technology services to educational institutions across the European Union. Our services include data analytics software, reporting tools, predictive modelling capabilities, and implementation support designed to enhance educational outcomes and support institutional decision-making.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, though we will endeavour to provide reasonable advance notice of material changes that may affect your use of the services.

You are responsible for all activities that occur under your account and for ensuring that your use of our services complies with your institution's policies and applicable laws.
Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using our services, you acknowledge that you have read and understood our Privacy Policy and consent to our data processing practices as described therein.
For educational institutions using our analytics platforms, separate data processing agreements will govern the handling of student data and other institutional information. These agreements will specify the roles, responsibilities, and obligations of both parties regarding data protection and privacy compliance.
All content, software, technology, and materials provided through neurovexison services, including but not limited to text, graphics, logos, software code, algorithms, and analytical models, are the exclusive property of neurovexison or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use our services for your intended educational purposes. This licence does not permit you to:
You retain ownership of any data you provide to our services, subject to the rights granted to us under these Terms and any applicable data processing agreements.
While we strive to provide reliable and continuous access to our services, we cannot guarantee uninterrupted availability. Our services may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.
We aim to provide advance notice of planned maintenance activities that may affect service availability. In the event of unplanned service interruptions, we will work diligently to restore normal operations as quickly as possible.
To the maximum extent permitted by applicable law, neurovexison shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use our services.
Our total liability to you for any claims arising from or related to these Terms or your use of our services shall not exceed the amount paid by you to neurovexison for the services in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law. In such cases, our liability shall be limited to the maximum extent permitted by law.
You acknowledge that the limitations of liability set forth in this section are reasonable and reflect the allocation of risk between the parties. These limitations shall apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.
You agree to indemnify, defend, and hold harmless neurovexison, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to your use of our services, your violation of these Terms, or your violation of any rights of another party.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
Any disputes arising from or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Cyprus. However, we retain the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.
If you are a consumer located in the European Union, you may also have rights under the consumer protection laws of your country of residence, and nothing in these Terms shall affect those statutory rights.
Either party may terminate these Terms at any time with or without cause. Upon termination, your right to access and use our services will immediately cease. We may also suspend or terminate your access to our services if we reasonably believe you have violated these Terms or engaged in conduct that may harm neurovexison or other users.
In the event of termination, we will provide reasonable assistance in data export and transition, subject to applicable data retention policies and legal requirements. However, we are not obligated to maintain your data indefinitely following termination.
The provisions of these Terms that by their nature should survive termination shall remain in effect after termination, including but not limited to intellectual property rights, limitation of liability, indemnification, and governing law provisions.
We reserve the right to modify these Terms at any time to reflect changes in our services, business practices, or legal requirements. When we make material changes to these Terms, we will notify you through our website, email, or other appropriate means at least thirty (30) days before the changes take effect.
Your continued use of our services after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you should discontinue your use of our services.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with our Privacy Policy and any applicable service-specific agreements, constitute the entire agreement between you and neurovexison regarding your use of our services and supersede all prior or contemporaneous communications and proposals, whether oral or written.
